1. Confidential Information

"Confidential Information" shall mean any and all information disclosed by either Party (the "Disclosing Party") to the other Party (the "Receiving Party") whether in writing, orally, or by inspection of tangible objects, which is identified as "Confidential" or ought reasonably to be considered confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes but is not limited to information relating to the investment opportunities, financial data, proprietary technology, business strategies, and any other information related to the investment dealings between the Parties.

2. Purpose
The Parties agree that all communications, documents, and discussions made through or within the investment website CodeCapital shall be considered as Confidential Information.

3. Intellectual Property
a. All intellectual property rights, including but not limited to copyrights, trademarks, patents, trade secrets, and any other proprietary rights related to the investment website, its content, or any related materials shall remain the sole property of the Founder.
b. The Investor agrees not to copy, reproduce, distribute, or create derivative works based on any content provided within the investment website without prior written consent from the Founder.

4. Non-Disclosure
a. The Receiving Party agrees not to disclose, reveal, or make use of any Confidential Information to any third party without the prior written consent of the Disclosing Party.
b. The Receiving Party agrees to take all necessary precautions to protect the confidentiality of the Confidential Information and to prevent it from falling into the hands of unauthorized persons.

5. Transaction Outside the Website
a. The Parties acknowledge that transactions may occur outside the investment website. However, they agree to maintain the confidentiality of all discussions, negotiations, and agreements related to such transactions.

6. Term and Termination
a. This Agreement shall remain in effect indefinitely unless terminated by either Party upon written notice to the other Party.
b. Upon termination of this Agreement, the Parties shall promptly return or destroy all Confidential Information received from the other Party.

7. Governing Law
